These Partner Program Terms (the "Partner Terms") form a binding agreement between you ("you" or "Partner") and Growjolt LLC ("GROWJOLT," "we," "us," or "our") and govern your participation in the GROWJOLT referral partner program (the "Program"). You accept them by checking the acceptance box when you apply, and you do not need to sign any other document to take part. Our Terms of Service, Privacy Policy, and Acceptable Use Policy also apply. Please read Section 13 (Disputes), which requires binding arbitration on an individual basis.
01Joining the Program
To join, you must be at least 18 years old, able to enter into a binding agreement, and not barred from receiving payments under applicable law or sanctions. Employees and contractors of GROWJOLT who already earn sales commissions from us are not eligible. Joining is free. We review every application and may approve or decline it at our discretion. You may hold only one partner account, and the information you give us must be accurate and kept up to date.
02An independent referral relationship
You take part as an independent referrer. Nothing in these Partner Terms creates an employment, partnership, joint venture, franchise, or agency relationship between you and GROWJOLT. In particular:
- you decide whether, when, how, and to whom you make introductions, using your own tools and at your own cost;
- there are no quotas, minimums, schedules, or exclusivity, and you are free to refer clients to other companies, including competitors;
- you only introduce businesses to us. You may not negotiate prices, make offers, sign, accept, or collect anything on our behalf, or present yourself as our employee, sales representative, or agent; and
- you are not entitled to wages, benefits, expense reimbursement, or any payment other than the commissions described below.
You perform your referral activity from your own country.
03Referrals and attribution
A referral is registered when a business reaches us through your partner link or when you introduce it to us by email from the address on your partner account. A registered referral stays attributed to you for 90 days; it counts if the business makes its first payment to us within that period.
A referral does not qualify when the business:
- was already a client of ours, or was already in conversation with us within the previous 12 months;
- was registered first by another partner (the first valid registration keeps the referral);
- is you, your own business, your employer, or a business you control (no self-referrals); or
- reached us through conduct that breaks these Partner Terms.
We decide which prospects we take on, and we may decline any business at our discretion. Our records of referrals, attribution, and client payments are final, absent manifest error.
04Commissions
Commission rates are published on our Partner Program page. The rate that applies to a referral is the one published on the date the referral is registered.
- Earned only on payment. A commission is earned only on amounts the client actually pays us, net of taxes, refunds, chargebacks, credits, and discounts. Signing a proposal is not enough.
- Which purchase. The commission applies to the first project or service the referred client buys. Later purchases by the same client do not earn a commission unless the Partner Program page says otherwise.
- Installments. If the client pays in installments, the commission is earned on each installment as it is paid, including installments paid after the 90-day attribution period.
- What counts. For one-time projects, the commission applies to the project price paid. For monthly services, it applies only to the first month paid, unless the Partner Program page says otherwise. Ad spend, third-party costs (such as hosting, domains, licenses, and paid tools), and pass-through fees never earn a commission.
- Holding period. Each commission is held for 30 days after the client's payment and is then released to your balance.
- Refunds and chargebacks. If a client payment is refunded, credited, or charged back, the related commission is cancelled. If it was already paid to you, we deduct it from your future commissions or you repay it on request.
05How and when you are paid
When your released balance reaches $100, you can request a withdrawal of it from your partner panel. We pay withdrawal requests once a month, in US dollars, to the payout account you choose. Smaller balances carry forward.
- Partners in the United States are paid by ACH transfer (or through Stripe, if we offer it to you) to a bank account in your name that you add in your panel.
- Partners outside the United States are paid by international bank transfer (SWIFT) to an account in your name. Fees charged by your bank or intermediary banks and currency conversion are your responsibility.
- Before saving a payout account you confirm that you double-checked its details. You are responsible for the details you enter: we are not responsible for a payment sent to the account you provided, and any cost to recover or resend a payment caused by incorrect details is yours. Bank account numbers are stored encrypted.
Released commissions stay payable while your account is in good standing. If a payment cannot be completed because your payment or tax details are missing or incorrect, we hold it until you correct them.
Statements. Your partner panel shows each referral, its status, and its commission. If you believe a commission is missing or incorrect, tell us within 60 days of the month in which it should have appeared. After that period, our records for that month are final.
06Taxes
You are solely responsible for reporting and paying any taxes, social security contributions, and similar charges that apply to your commissions in your country.
- US persons upload a completed Form W-9 in their partner panel before their first payment. Where required by law, we report your commissions to the IRS on Form 1099-NEC.
- Non-US persons complete Form W-8BEN (individuals) or W-8BEN-E (entities) before their first payment.
We do not pay any commission until we have the required tax information. If the law requires us to withhold tax from a payment, we will withhold it and remit it to the tax authority on your behalf.
07How you may promote us
You may share your partner link and talk about our services in your own words, provided that you:
- disclose the relationship: whenever you recommend GROWJOLT, say clearly that you may receive a commission, as required by the US Federal Trade Commission's Endorsement Guides and similar laws;
- describe our services truthfully and never promise results, rankings, revenue, prices, discounts, or terms that we have not published or put in writing;
- comply with anti-spam and telemarketing laws, including CAN-SPAM and the TCPA. Bulk, unsolicited, or purchased-list email, texts, or calls promoting GROWJOLT are not allowed;
- do not bid on "GROWJOLT" or similar terms in paid search, do not register domains, social accounts, or app names that include our brand, and do not create pages that could be mistaken for ours;
- do not offer cash, gifts, or kickbacks to anyone in exchange for choosing GROWJOLT, and respect the rules of your own profession (for example, accountants and attorneys who must disclose referral fees to their clients);
- never generate fake, paid, incentivized, or automated referrals, clicks, or sign-ups, use hidden or forced tracking, or register referrals for businesses that did not actually ask to hear from us; and
- follow our Acceptable Use Policy.
08Our name and logo
While you are an active partner, we grant you a limited, non-exclusive, non-transferable, revocable permission to use the GROWJOLT name and logo only to identify us and promote the Program, as we provide them and without modification. You may not use them in a way that suggests you are part of GROWJOLT. All rights in our name, logo, and materials remain ours, and your permission ends automatically when your participation ends.
09Information about the businesses you refer
When you share a business's contact details with us, you confirm that you have permission to do so. We handle the information of the businesses you refer, and your own information as a partner (including payment and tax details), under our Privacy Policy. Information we share with you about a referral, such as its status, is for your own use in the Program and may not be shared with others.
10Partners outside the United States
If you live or operate outside the United States, the following terms also apply:
- Sanctions and legality. You may not join if you reside or are organized in a country or region subject to comprehensive US sanctions, or if you appear on a US government restricted-party list. You confirm that taking part in the Program and receiving commissions is lawful where you are.
- Taxes in your country. You must declare and pay the taxes that apply to your commissions in your country of residence, under its own rules. GROWJOLT does not withhold, declare, or pay those taxes for you.
- Local obligations. You are also responsible for any registration, license, invoicing, tax filing, or social security contribution your country requires for this income. When your local rules require it, you send us an invoice or equivalent document (for example, a "cuenta de cobro") for each payment. We provide a monthly commission statement you can use to support it.
- Nature of the service. Your referral activity is a service you provide from your country to Growjolt LLC, a company organized in the United States.
- Payments and currency. We pay in US dollars to a bank account in your own name. Currency conversion, bank charges, and any foreign-exchange declaration your bank or central bank requires are your responsibility.
- US tax forms. You keep your Form W-8BEN or W-8BEN-E current and give us a new one when it expires or your information changes. You tell us before carrying out referral activity while physically in the United States, because that can change the tax treatment of your commissions.
- Data protection. When you share a business's contact details with us, you comply with the data-protection law of your country, including obtaining any authorization it requires, and you accept that the information is transferred to and processed in the United States under our Privacy Policy.
- Anti-corruption. You never offer, promise, or give anything of value to a government official, an employee of a state-owned company, or anyone else to obtain or keep business for GROWJOLT, as required by the US Foreign Corrupt Practices Act and the anti-corruption laws of your country.
- Businesses you refer. Our services are built for businesses in the United States. A business located outside the United States qualifies as a referral only if we confirm in writing that we accept it.
11Changes, suspension & ending participation
We may change these Partner Terms, the commission rates, or the Program by publishing the update and, where the change affects you, emailing you. Changes to commission rates apply only to referrals registered after the change. Continuing in the Program after a change means you accept it.
You may leave the Program at any time by emailing us. We may suspend or end your participation, or end the Program, at any time. If participation ends for any reason other than a breach of these Partner Terms, we pay your released commissions and the commissions still in their holding period once they are released, regardless of the minimum balance. If it ends because of a breach (for example, spam, misleading claims, self-referrals, or fraud), unpaid commissions connected to the breach are forfeited, and we may recover commissions already paid on those referrals.
12No guaranteed income & limitation of liability
The Program does not guarantee any income. Example earnings on our website are illustrations calculated from our starting prices, not a promise. The Program is provided "as is," and to the fullest extent permitted by law GROWJOLT is not liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability to you under the Program is limited to the commissions paid or payable to you in the six (6) months before the claim arose.
You agree to indemnify and hold GROWJOLT harmless from claims, fines, and costs arising from your promotional activity or your breach of these Partner Terms or applicable law.
13Disputes
Any dispute about the Program or these Partner Terms is resolved under the dispute resolution and arbitration section of our Terms of Service, on an individual basis, in Pinellas County, Florida. These Partner Terms are governed by the laws of the State of Florida.
14General
These Partner Terms, together with the documents they reference and the commission rates on our Partner Program page, are the entire agreement about the Program. You may not transfer your partner account or these Partner Terms to anyone else; we may transfer them to a successor of our business. If any provision is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. We send notices to the email address on your partner account. These Partner Terms are published in English and Spanish; if the two versions differ, the English version controls.
